Industry Brief — Polaris Announces Buyback of 3.96 Million Shares From Fuji Heavy Industries

Polaris Industries Inc. (NYSE: PII) today announced that it has purchased all of Fuji Heavy Industries Ltd.’s (“FHI”) 3.96 million shares of Polaris’ common stock for a purchase price of $497.5 million, thereby reducing its outstanding share count by approximately six percent.  Polaris funded this purchase with a combination of cash on hand and $250 million of borrowings under the Company’s revolving credit facility.

Polaris and FHI have a long successful engine supplier relationship dating back to 1968, when FHI began manufacturing Polaris’ exclusive “Star” engine.  FHI was the sole manufacturer of Polaris’ engines from 1968 to 1995, at which time Polaris gradually began to produce its own engines for select models.  For model year 2013, FHI supplied approximately one-fourth of Polaris’ engines used in a number of models of snowmobiles and off-road vehicles.  For model year 2014 and beyond, the Company anticipates that the percentage of FHI-supplied engines will decline further as Polaris continues to significantly expand its own engine portfolio.

Scott Wine, Polaris’ Chairman and CEO stated, “FHI has been a valued partner and long-term engine supplier since 1968 and a significant, loyal and stable shareholder since we first began trading as a public company in 1987.  FHI approached us with the opportunity to repurchase their entire block of Polaris stock at a negotiated discount to the most recent average market price.  Our decision to repurchase these shares demonstrates not only the confidence we have in the fundamentals of our business, but also our long-term growth prospects and the commitment we have to provide an above-average return to our shareholders.  However, this opportunistic share repurchase transaction in no way signals a change in our strategic direction.  We continue to believe there are abundant opportunities to further expand and diversify our businesses both organically and through acquisitions and we have ample borrowing capacity and strong cash flow to fund the anticipated growth of Polaris.”

Polaris currently intends to issue $100 million of debt under an existing private placement Master Note Purchase Agreement before December 31, 2013 in order to reduce the borrowings under the Company’s revolving credit facility.  After taking into consideration the funding and transaction costs and lower outstanding share count, this transaction is expected to have only a slightly positive impact on the Company’s 2013 fourth quarter and full year earnings per share from continuing operations.  The Company’s previously issued guidance for full year 2013 earnings per share from continuing operations, raised on October 22, 2013, remains unchanged at $5.30 to $5.37 per diluted share. On a pro forma basis, assuming this transaction had occurred on January 1, 2013, the positive impact on expected full year 2013 earnings per share from continuing operations would have been approximately $0.25 per share.   The Company’s share repurchase program authorization remains in place with approximately 1.6 million shares available for repurchase.  The existing program does not have an expiration date.

Harley-Davidson recalls 436 Project Rushmore trikes

Harley-Davidson Inc. has issued another safety recall on its 2014 Project Rushmore motorcycles, this one for a defect that could result in the loss of brake fluid.

The recall is for trikes manufactured from July 24 through Sept. 2, according to the National Highway Traffic Safety Administration. The recall affects 436 cycles manufactured during this period.

Due to an incorrectly machined part, the trike may have an excessive steering angle that allows the inner fairing to come into contact with a brake fluid reservoir, resulting in a loss of fluid. Also, the steering damper may be damaged.

This is the second recall of Project Rushmore motorcycles. Last month, Harley recalled about 29,000 bikes and trikes for hydraulic clutch system problems.

With the trike recall, Harley-Davidson will notify owners, and dealers will inspect the trikes and make the necessary repairs free of charge, according to NHTSA

Krawiec Races a Harley-Davidson V-Rod to Third Place in Countdown Points

Harley-Davidson rider Ed Krawiec wrapped up the 2013 NHRA Mello Yello Drag Racing Series season with a win at the Auto Club of Southern California NHRA Finals at Auto Club Raceway. Krawiec rode a V-Rod motorcycle to defeat Quality Tire Buell rider Scott Pollacheck in the final round of eliminations.

“My theory for the weekend was to come out and do the best I can, and we got a win and finished third in the points for the season,” said Krawiec, the defending NHRA Pro Stock Motorcycle champion. “This was my sixth straight final at Pomona and I’m three-and-three, so I like my chances here.”

Krawiec qualified sixth for the event with an Elapsed Time (ET) of 6.893 seconds. Harley-Davidson rider Andrew Hines qualified the team’s other V-Rod in 12th position with an ET of 6.940 seconds. Lucas Oil Buell rider Hector Arana Jr. led all qualifiers with a best run of 6.818 seconds.

On Sunday, Hines lost to Lucas Oil Buell rider Hector Arana Sr. in the first round of eliminations after a tense staging battle on the starting line

“Hector has a fast bike, so I knew I’d have to try and win at the starting line,” said Hines. “I also tried to play a few games with him in staging to throw him off, but that didn’t work this time.”

Krawiec started the Sunday rounds with a holeshot win over Mercedes-Benz Elite Suzuki rider Steve Johnson, and advanced to his fourth final-round appearance of the season with wins over Viper Motorcycle Company Buell rider John Hall and Sovereign-Star Racing Buell rider Michael Ray. Krawiec won the final with a 6.918 ET to 6.963 for Pollacheck. It was the second event win of the season for Krawiec, and the 22nd of his NHRA career

Krawiec presented his race-win Wally trophy to Willie G. Davidson, Harley-Davidson Chief Styling Officer Emeritus, who was in attendance at the race. “I look up to him for what he’s done in the sport,” Krawiec said. “He has a long history of success in motorcycle racing. He has everything he’s ever wanted, but he didn’t have a Wally. That was just a small token of my appreciation for him.”

After winning 15 of 16 events and the series championship in 2012, the Harley-Davidson® Screamin’ Eagle®/Vance & Hines team won three times in 2013 after opening the season with a new engine designed to meet rules announced by the NHRA in November 2012.

“This was really an R&D season for us with the new engine,” said Hines, who like Krawiec is a three-time Pro Stock Motorcycle champion. “Even this last weekend of the season, we tried some new cylinder heads on my bike in the first round of eliminations. It was a tough time frame for us to get the new engine ready for the first race at Gainesville, and I think just to make it there and qualify both bikes was a win for us. It was an up-and-down year but we know where we need to go for next year. The parts are already ordered and I think we’ll be significant front runners next season.”

Viper Motorcycle Company Buell rider Matt Smith clinched the 2013 Pro Stock Motorcycle title on October 27 at the Toyota Nationals at The Strip at Las Vegas Motor Speedway, and wraps up the six-event NHRA Countdown to the Championship playoffs with 2,633 points. Ray finished second in the standings with 2,501 points, followed by Krawiec with 2,492 points. Arana Jr. was fourth with 2,464 points, followed by Arana Sr. with 2,456 points. Hines did not qualify for the Countdown.

He is the POW who went away one person and came back another or didn’t come back AT ALL..

He is the Quantico drill instructor who has never seen combat, but has saved countless lives by turning slouchy, no account rednecks and gang members into Marines, and teaching them to watch each other’s backs. ……

He is the parade riding Legionnaire who pins on his ribbons and medals with a prosthetic hand.
He is the career quartermaster who watches the ribbons and medals pass him by.

He is the three anonymous heroes in The Tomb of the Unknowns, whose presence at the Arlington National Cemetery must forever preserve the memory of all the anonymous heroes whose valor dies unrecognized with them on the battlefield or in the ocean’s sunless deep.

He is the old guy bagging groceries at the supermarket-palsied now and aggravatingly slow, who helped liberate a Nazi death camp and who wishes all day long that his wife were still alive to hold him when the nightmares come.

He is an ordinary and yet an extraordinary human being,  a person who offered some of his life’s most vital years in the service of his country, and who sacrificed his ambitions so others would not have to sacrifice theirs.

He is a soldier and a savior and a sword against the darkness, and he is nothing more than the finest, greatest testimony on behalf of the finest, greatest nation ever known.

So remember, each time you see someone who has served our country, just lean over and say “THANK YOU.” That’s all most people need, and in most cases it will mean more than any medals they could have been awarded or were awarded.

Two little words mean a lot, THANK YOU.

Dallas Show Results – by Jeffrey Najar

The Dallas edition of the 2013-14 Ultimate Builder Custom Bike Show was packed from opening bell on Friday to the awards ceremony on Sunday at 4PM. The free parking for motorcycles drew a huge 2-wheel crowd that funneled into the Progressive International Motorcycle Show and the very first bikes they saw were the custom sleds from the show. The bike show diversity was spectacular with big wheel Yamaha Bobbers to Diesel custom to huge tire baggers.
