KTM has sold MV Agusta back to the Sardarov Family

MV Agusta is returning to the control of the wealthy family that had previously owned the Italian brand, shortly after it had been purchased by a larger motorcycle company.

If this sounds familiar, its deja vu indeed. The Castiglioni family regained full ownership of MV Agusta from Harley-Davidson back in 2010, after the iconic American motorcycle company purchased it from the family in 2008. Fast forward to 2025 and that history repeats itself. The family Sardarov regained 100% control of MV Agusta after KTM exercised its option to gain a majority stake just a year ago.

Both Pierer Mobility (KTM AG’s parent company) and MV Agusta announced the transaction on 31-January-2025. This transaction will need to go through the regular approval process, which is expected to be completed before the end of the first half of 2025.

The companies have not revealed the specific terms of the transaction. It seems Pierer Mobility will be selling its 50.1% stake to Art of Mobility S.A., a company controlled by the Sardarov family for “an enterprise value in the mid double-digit million range.”

In financial jargon, enterprise value is what is understood as the market value of the ownership stake plus any outstanding debt and minus cash.

This means MV Agusta will be officially separated from KTM AG and its ongoing financial meltdown.

MV’s time under KTM was negligible to effect any benefits to the brand or its riders. KTM AG initially acquired a 25.1% stake in November 2022 before the option to increase the stake to 50.1% was exercised in March 2024. As always, Pierer Group seemed to show a pattern of consumption beyond its means and management.

PIERER Mobility AG: Sale of shares in MV Agusta

Sale of all shares in MV Agusta to the minority shareholder Art of Mobility S.A.

In November 2022, KTM AG, a subsidiary of PIERER Mobility AG, acquired 25.1% of MV Agusta Motor S.p.A., based in Varese (Italy), by way of a capital increase and increased its shareholding to 50.1% in spring 2024.

KTM AG has reached an agreement to sell its majority stake in MV Agusta to the minority shareholder Art of Mobility S.A. for an enterprise value in the mid double-digit million range. The transaction is subject to the approval or non-prohibition of committees and authorities. The transaction is expected to be finalized in the first half of 2025.
